TripleTree successfully negotiated the
strategic sale of Boniva Software to SSA Global |
THE
ESSENTIALS:
Helping shape Boniva's growth strategy built upon the firm's past success in Software as a Service (SaaS) application environments, TripleTree led Boniva's efforts in identifying an ideal strategic partner that would leverage their technology, development and domain expertise. |

Boniva Software delivers a Software as a Service (SaaS) application relevant to the workforce talent management needs of large and mid-sized organizations. Combining robust functionality and configurability with ease of use, Boniva’s talent management suite helps companies manage the workforce needs for successful employee development in relation to defined corporate objectives. In doing so, the platform addresses and integrates corporate and strategic goal alignment, employee performance management, succession planning, employee assessment, and learning. Built on a 100% web-based, Java platform, the company used an off-shore development model through its wholly-owned subsidiary Boniva Software India. The company’s solutions span across industries and include technology-savvy firms such as Adobe, Witness Systems, MDServe and Hitachi Data Systems.

With a leading-edge technology servicing the high growth talent management sector within Human Capital Management (HCM), Boniva’s shareholders sought to accelerate its growth as an early-stage SaaS provider. In combining TripleTree’s knowledge in the HCM market with its expertise in SaaS delivery, Boniva and TripleTree decided that a strategic acquisition or merger would best suit the objectives for growth as well as provide liquidity prospects for company shareholders. In this pursuit, the ideal strategic partner would leverage the technology, development capabilities and domain expertise at Boniva by adding the necessary resources to accelerate sales and marketing at a time where talent management is becoming a critical component of an enterprise’s human resources strategy. Additionally, the right partner would both value the off-shore development model and provide a strong parent organization for the continued growth of its Indian-based technology team.

Addressing both private and public firms seeking to enhance its HCM solutions, Boniva was acquired by SSA Global in an all-cash transaction. As a publicly traded $700 MM software company providing a full suite of enterprise applications primarily targeted to the middle market, SSA brings significant national as well as global reach to the market. Boniva’s talent management portfolio will be integrated to SSA’s core HRIS solution, extending the company’s Human Capital Management suite. SSA HR solutions will now enable companies to automate core processes such as human resources, benefits and payroll, and also offers capabilities including self-service, analytics, and workflow to better connect managers and employees in real time. SSA’s development model strongly values off-shore development with a 10 year history in India and existing facilities located in the same city as Boniva. As a result, Boniva’s development employees will be combined with SSA’s team, while Boniva’s executive and client team in the California will be integrated into SSA’s global operations.
