Peak Health Solutions provides outsourced health information management (HIM) services including medical coding, audit, revenue integrity, and consulting services to hospitals, health systems, government agencies, and physician medical groups nationwide. Over the past few years, the Company has experienced strong momentum as providers have had to deal with ever-intensifying levels of regulatory oversight, compliance, and clinical documentation and coding granularity. Throughout this period, Peak has become a trusted partner to its provider customers and has built on its success through the addition of several new customers across its HIM service offerings. In particular, the Company was strongly positioned to help its customers through the ICD-9 to ICD-10 transition in October of 2015, which helped solidify lasting relationships and a level of trust that provides visibility on growth through 2016 and beyond.
Objectives
TripleTree was engaged by Peak Health Solutions and its owner, EDG Partners, a healthcare focused private equity firm, as the Company’s exclusive financial advisor based on its deep industry expertise and long history within the revenue cycle management and provider-based outsourcing segments. Peak was approached by AMN Healthcare, the nation’s largest healthcare staffing firm, to discuss the possibility of an acquisition. TripleTree assisted in the negotiation of the sale, including the key terms for an acquisition outlined in the Letter of Intent (LOI) and subsequent diligence leading to the consummation of a definitive agreement and closing within an accelerated timeframe.
Results
This successful transaction was governed by rapid due diligence and negotiations that included comprehensive business, market and financial due diligence, legal negotiation and executive agreements. The transaction provides AMN with a footprint into the healthcare coding space, a long time target and natural extension of their current breadth of services, and provides Peak with a national provider footprint for future growth opportunities.
