Pharmacy OneSource, based in Bellevue, Washington, provides hospital pharmacy and enterprise surveillance software addressing patient safety, compliance, and hospital efficiency. Deployed in a Software as a Service (SaaS) model, Pharmacy OneSource’s industry leading solutions serve over 1,200 hospitals in the U.S. and internationally. The Company’s software manages real-time data across hospital departments to identify opportunities for clinical intervention, improve patient safety, and lower costs across the hospital.

Objectives

Pharmacy OneSource’s board of directors and executive management team engaged TripleTree as its exclusive advisor based on TripleTree’s expertise working with high-growth disruptive healthcare IT and services businesses, and its strong SaaS track record. TripleTree’s mandate was to follow-up on unsolicited outreach from prospective acquirers and selectively engage additional parties that would value the synergies brought forth in an acquisition. Given Pharmacy OneSource’s unique market position, growth and industry momentum, the Company set out with TripleTree to review its strategic options.

Results

TripleTree reached out to a select group of strategic and financial buyers that could leverage Pharmacy OneSource’s unique assets to facilitate continued growth of the Company. TripleTree conducted independent market briefings and analysis to validate how the Pharmacy OneSource solutions were being used in the marketplace and to better position the Company for an attractive exit.

In addition, TripleTree worked with Pharmacy OneSource to optimize process timing based on a range of Company and market forces. As potential acquirers were engaged, TripleTree customized presentation materials that allowed prospective buyers to focus on the unique growth and market opportunities brought forth with Pharmacy OneSource.

Wolters Kluwer distinguished itself as the best partner for Pharmacy OneSource, which will maintain its management team and function as a business unit within Wolters Kluwer Health’s Clinical Solutions division. As one company, Pharmacy OneSource and Wolters Kluwer bring together a common vision, complementary products, and expanded access into the hospital market, as well as a common corporate culture devoted to customer service. Wolters Kluwer will utilize Pharmacy OneSource as a key component to extend its clinical decision support initiatives and ability to manage patient data at the point-of-care.  Additionally, the acquisition provides attractive data assets that will allow Wolters Kluwer to pursue new revenue streams in combination with existing clinical solutions. Pharmacy OneSource also provides a strong cross-selling channel into the hospital pharmacy, which will allow Wolters Kluwer to expand the reach of its rich portfolio of IP and technologies.
