TripleTree helped negotiate the sale of Extreme Logic to Hewlett Packard (HP)

THE ESSENTIALS:
Extreme Logic was sold to Hewlett Packard (HP) in September 2003 for a premium valuation in an all cash transaction that satisfied the diverse set of requirements established by its key operating executives and shareholders.


Extreme Logic is a leading IT services provider of Microsoft .NET custom application development solutions for Fortune 1000 corporations. Privately held by management, Microsoft and CCG Ventures, the Company was located in Atlanta with additional offices in Texas, Maryland, New York, North Carolina and California. At the time of sale Extreme Logic had 185 employees and was experiencing exceptional revenue growth and profitability. The Company was widely recognized as one of the premier “super-regional” .NET application development firms in the United States. Competing successfully against large, global services providers, the Company was also one of the very few Microsoft centric consultancies that had completed large numbers of multi-million dollar enterprise-class projects on the .NET platform.

As a leading provider of .NET development services, the shareholders of Extreme Logic sought to take advantage of the Company’s position in the market while positioning the firm with the resources for further national, and ultimately, international expansion. Given TripleTree’s expertise and successful M&A experience, not only in IT services but also specific to Microsoft solutions, Extreme Logic engaged TripleTree to advise the company on the right timing, opportunity and process to maximize the value of the firm.

TripleTree positioned Extreme Logic as a platform acquisition that could be leveraged to dramatically accelerate an acquirer’s .NET consulting practice. In particular the Company was positioned as providing a competitive edge for a large acquirer looking to penetrate IBM/Unix centric environments with a lower TCO solution for enterprise-level customers. Due to the Company’s exceptional financial performance in the midst of a down market, its management and shareholders were very specific in terms of their expectations concerning valuation and deal structure. Extreme Logic was ultimately sold to Hewlett Packard (HP) in September 2003 for a premium valuation in an all cash transaction that satisfied the diverse set of requirements established by its key operating executives and shareholders. Having made a commitment to building its solutions business, HP saw Extreme Logic as a key platform to further building a leading global .NET services business that capitalizes on the growing demand for Web Services. The acquisition has accelerated HP’s position in competing directly against established IT consulting vendors such as Accenture, IBM Global Services, Cap Gemini Ernst & Young, and EDS.
